These Terms of Service govern your use of the Basalt Labs website at basaltlab.ai and any services you engage us to deliver. By using this website or entering into a service engagement with Basalt Labs, you agree to these terms. If you do not agree, please do not use our website or engage our services.

Basalt Labs is a systems engineering studio providing custom software development, AI systems design, system integration and related technical services to businesses globally.

Use of This Website

You may use this website for lawful purposes only. You agree not to use this website in any way that could damage, disable or impair the site or interfere with any other user's access to it. You agree not to attempt to gain unauthorized access to any part of this website or its underlying infrastructure.

Service Engagements

• Scope of work

  All service engagements are governed by a separate project agreement or statement of work agreed between Basalt Labs and the client prior to work beginning. These Terms of Service apply in addition to, and do not replace, any such project agreement.

• Payment

  Payment terms are defined in the project agreement for each engagement. Basalt Labs reserves the right to pause or discontinue work on any engagement where payment obligations are not met in accordance with the agreed terms.

• Intellectual property

  Upon full payment of all agreed fees, the client receives full ownership of the custom work product delivered by Basalt Labs for that engagement. Basalt Labs retains ownership of any proprietary tools, frameworks, methodologies or pre-existing intellectual property used in the delivery of services. Open source components used in delivery remain subject to their respective licenses.

• Confidentiality

  Basalt Labs treats all client information, business logic, data and project details as strictly confidential. We do not disclose, share or reuse client-specific information across engagements. Clients are expected to treat any proprietary methodologies, tools or information shared by Basalt Labs during an engagement with equivalent confidentiality.

• Warranties

  Basalt Labs delivers work with professional care and skill consistent with industry standards. We do not warrant that any system delivered will be entirely free of defects under all conditions. Where defects are identified within the stabilization period defined in the project agreement, we will address them at no additional cost. We make no warranties beyond those stated in the applicable project agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, Basalt Labs shall not be liable for any indirect, incidental, consequential or punitive damages arising from your use of this website or from any service engagement, even if we have been advised of the possibility of such damages.

Our total liability in connection with any service engagement shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

Nothing in these terms limits liability for fraud, gross negligence or any liability that cannot be excluded under applicable law.

Governing Law & Dispute Resolution

These terms are governed by and construed in accordance with applicable law. For clients located in the European Union or United Kingdom, mandatory consumer protection provisions of your local law apply and are not affected by these terms.

In the event of any dispute arising from these terms or from a service engagement, both parties agree to first attempt resolution through good faith negotiation. If resolution cannot be reached through negotiation, disputes shall be submitted to binding arbitration before being escalated to litigation.

Changes to These Terms

We may update these terms from time to time. When we do, we will update the effective date at the top of this page. Continued use of the website or services after any update constitutes acceptance of the revised terms. For active service engagements, changes to these terms do not affect the project agreement already in place.
